Your Impact
As a Legal Counsel within our Corporate Finance Department, you will be instrumental in supporting MSC's growth by providing high-level legal expertise on complex financing structures, vessel transactions, and strategic investments. This position offers a unique opportunity to engage in a dynamic, multicultural environment, collaborate with senior stakeholders across commercial, technical, and financial teams, and directly contribute to the expansion of MSC's global fleet and infrastructure.
Key Responsibilities
- Transaction Management: Oversee transactions from term sheet to closing across various financing types, including shipbuilding contracts and vessel delivery, while collaborating closely with MSC's commercial and technical teams.
- Legal Expertise & Contract Negotiation:
- Lead the drafting and negotiation of contracts related to asset financings, including traditional and ECA loan facilities, structured financings (tax leases, off balance sheet schemes), and hedging agreements (ISDA, CSA).
- Provide legal input for corporate financing contracts, such as revolving credit facilities, bond issuances, securitization, and reverse factoring.
- Draft and negotiate contracts related to the construction, supervision, and delivery of container carriers, cruise vessels, and other ship types, as well as vessels' sale and purchase agreements.
- Oversee the drafting and negotiation of cash investment products.
- External Stakeholder Management: Facilitate negotiations of legal terms with external counterparties and efficiently liaise with external advisers related to financing arrangements.
- Operational Processes & Internal Efficiency: Establish and implement procedures to enhance daily team operations, including expense follow-ups, bank account management, and archiving system improvements.
- Compliance Monitoring & Reporting: Ensure consistent interpretation and compliance with contractual obligations, reporting issues to Finance Directors along with recommended resolutions.
Your Background
- Proven experience and expertise in negotiating and drafting ship construction and financing agreements with multilateral institutions, yards, commercial banks, export credit agencies, and leasing companies.
- University degree in law from an accredited institution.
- Licensed to practice law and an active member of a bar association (preferably in the UK).
- Qualified Solicitor with a minimum of 4 years post-qualification experience in financing-related legal roles, ideally in private practice focusing on shipping financing.
- Fluent in English, both written and spoken; proficiency in French is a plus.
- Ability to thrive in a small team within a demanding and dynamic environment while maintaining confidentiality.
