Your Impact
As a Legal Counsel within our Corporate Finance Department, you will play a crucial role in enabling MSC’s continued growth by providing high-level legal expertise on sophisticated financing structures, vessel transactions, and strategic investments. This position offers an exciting opportunity to work at the heart of a dynamic, multicultural organization, collaborate with senior stakeholders across commercial, technical, and financial teams, and contribute directly to the development of MSC’s expanding global fleet and infrastructure.
As Senior Legal Counsel, Ship & Asset Finance, you will:
- Transaction Management: Oversee transactions from term sheet to closing for various financing types, including shipbuilding contracts and vessel deliveries, while collaborating closely with commercial and technical teams.
- Legal Expertise & Contract Negotiation:
- Provide legal input and lead drafting and negotiation of contracts related to asset financings, including traditional and ECA loan facilities, structured financings, and hedging agreements.
- Lead drafting and negotiation of contracts related to corporate financing, such as revolving credit facilities, bond issuances, and securitization.
- Manage contracts concerning the construction, supervision, and delivery of vessels.
- Contribute to the negotiation of cash investment products.
- External Stakeholder Management: Drive the negotiation of legal terms with external counterparties and liaise effectively with external advisers on financing arrangements.
- Operational Processes & Internal Efficiency: Implement procedures to enhance effective day-to-day team operations, including expenses validation and archiving systems.
- Compliance Monitoring & Reporting: Monitor group commitments to ensure compliance with contractual obligations and report issues to Finance Directors with recommendations for resolution.
Your Background
- Proven experience in negotiating and drafting ship construction and financing agreements with multilateral institutions, commercial banks, and leasing companies.
- University degree in law from an accredited institution.
- Licensed to practice law and a member in good standing of a bar association (preferably in the UK).
- At least four years of post-qualification experience in financing-related legal positions, preferably with a focus on shipping financing.
- Excellent command of written and spoken English; proficiency in French is a plus.
- Ability to operate within a small team in a fast-paced environment where confidentiality is critical.
- Proactive, diligent, and detail-oriented.
- Strong organizational and strategic thinking abilities.
- Demonstrated entrepreneurial and commercial skills.
- Excellent interpersonal and communication skills, particularly at senior levels.
