Your Impact
As a Legal Counsel in our Corporate Finance Department, you will be integral to MSC’s growth, providing high-level legal expertise on complex financing structures, vessel transactions, and strategic investments. This position offers the opportunity to work in a dynamic, multicultural environment, collaborating with senior stakeholders across commercial, technical, and financial teams, while directly contributing to the development of MSC’s global fleet and infrastructure.
As Senior Legal Counsel, Ship & Asset Finance, you will:
- Transaction Management: Manage transactions from term sheet to closing for various financings, including shipbuilding contracts and vessel delivery, in close collaboration with MSC's commercial and technical teams.
- Legal Expertise & Contract Negotiation:
- Provide expert legal input and lead the drafting and negotiation of contracts for asset financings, such as traditional and ECA loan facilities, structured financings, hedging agreements (ISDA, CSA).
- Draft and negotiate contracts related to corporate financing, including revolving credit facilities, bond issuances, securitization, and reverse factoring.
- Oversee contracts for the construction, supervision, and delivery of various vessel types, as well as the sale and purchase of vessels.
- Manage the drafting and negotiation of cash investment products.
- External Stakeholder Management: Negotiate legal terms with external counterparts and liaise efficiently with external advisers on financing arrangements.
- Operational Processes & Internal Efficiency: Implement procedures to streamline day-to-day team operations, including tracking expenses, opening bank accounts, and enhancing the archiving system.
- Compliance Monitoring & Reporting: Ensure consistent interpretation and compliance with contractual obligations, reporting issues to Finance Directors with recommended resolutions.
Your Background
- Proven expertise in negotiating and drafting ship construction and financing agreements with multilateral institutions, yards, banks, export credit agencies, and leasing companies.
- University degree in law from an accredited institution.
- Licensed to practice law and a current member in good standing of a bar association (preferably UK).
- Qualified as a Solicitor with a minimum of 4 years of post-qualification experience in financing-related legal positions, ideally within private practice focused on shipping financing.
- Fluency in written and spoken English; proficiency in French is an advantage.
- Able to thrive in a small team within a demanding and dynamic environment, with a strong emphasis on confidentiality.
- Detail-oriented, proactive, and hardworking with exceptional organizational skills.
- Willingness to work flexible hours based on transaction demands.
- Strong strategic thinking and change management capabilities.
- Good understanding of the logistics and transportation industry.
