Position: Senior Legal Counsel - ART

We are searching for a Senior Legal Counsel for our Alternative Risk Transfer (ART) team, located in either Munich, Germany, or Wallisellen, Switzerland.

Your Team

The dedicated ART team at Allianz Commercial provides personalized solutions for clients managing, controlling, and reducing risk. Our offerings include multi-year, multi-line insurance products, along with fronting and captive reinsurance services.

The Impact You Will Have

As a member of our team, reporting directly to the Head of Legal ART, you will provide expert legal and transaction-specific advice. This role involves reviewing regulatory matters, such as cross-border licensing issues and risk-transfer requirements. You will evaluate the legality and enforceability of various structural features, including insurable interest, indemnification agreements, and assignment of rights.

Your responsibilities will extend globally across distribution, intermediary management, and market conduct, by establishing and executing ART Line of Business (LoB) guidelines and approving relevant agreements.

Some Specific Responsibilities Include:

  • Transaction Support: Guide global ART LoB business units in negotiating and executing (re-)insurance transactions and producer arrangements, focusing on European and international markets while managing legal aspects, including external counsel coordination and dispute resolution.
  • Documentation Alignment: Collaborate with the Deal Modeler to ensure transaction documentation aligns with modeled structures, such as Inner Aggregate Deductibles and Experience Account Balances.
  • Distribution Leadership: Assume global responsibility for distribution, market conduct, and management of distribution partners, ensuring regulatory compliance and signing off on all global distribution agreements.
  • Governance & Best Practices: Support and enhance underwriting governance, conduct legal reviews and sign-offs, contribute to best practice standards, and provide training and functional guidance to management and business teams.
  • Collaboration & Knowledge Sharing: Regularly collaborate with AGCS Legal & Compliance teams across Germany, France, and Italy, maintain a network within Allianz Group counsel and industry peers, and ensure knowledge transfer within ART LoB and AGCS Legal Group.
  • Coaching & Leadership: Participate in underwriting committees, coach the underwriting community, and exemplify sound business judgment and corporate behavior.

What You'll Bring to the Role

  • Advanced Legal and Transactional Knowledge: Extensive expertise in alternative risk transfer transactions, including cross-border regulatory matters and managing litigation.
  • Professional Qualifications: Juris Doctorate, qualified as a lawyer in Germany, Switzerland, or Austria.
  • Corporate, Regulatory, and Compliance Expertise: In-depth understanding of corporate, regulatory, and compliance landscapes impacting ART LoB, focusing on EEA jurisdictions.
  • Extensive Experience: Over 15 years in financial services as in-house counsel or law firm professional.
  • Collaborative and Cross-Cultural Skills: Proven ability to work in diverse teams with a strong client-oriented approach.
  • Analytical and Communication Strengths: Strong skills in negotiating and addressing complex, multi-jurisdictional issues.
  • Professional and Business Acumen: Demonstrable ownership and technical expertise complemented by a solid understanding of finance and law.
  • AI Awareness: The ability to ensure ethical AI practices and stay updated with emerging AI technologies.
