For our office in Zurich, Switzerland, QUORUS GmbH (www.quorus.ch) is expanding its activities and services with Kazakhstan and is seeking a Senior Counselor/Partner. The ideal candidate will possess a Kazakh or Russian academic law and finance background, executive-level education from a prestigious international university, a solid business network, and an extensive client portfolio in Kazakhstan. Additionally, the candidate should have substantial experience in multinational legal and financial projects with significant Central Asian involvement.
Duties and Responsibilities
- Participation in complex international M&A and venture transactions, including conducting negotiations, legal structuring of deals, preparing transactional documentation, and assisting in closing.
- Participation in arbitration proceedings supported by the firm, including strategy development, preparation of submissions and procedural documents, and participation in oral pleadings and hearings.
- Monitoring and interpreting US, UK, EU, and Swiss sanctions against Russia, focusing on the risk of secondary sanctions.
- Legal review and analysis of various contracts governed by English law, European law, Swiss law, corporate documentation, regulations, and bylaws.
- Providing legal support and consultations for emerging businesses and startups regarding incorporation, changes in legal structure, funding structuring, and appointment of officers.
- Supporting Swiss/EU clients entering the Kazakhstan market.
- Contributing to and developing an extensive portfolio of private clients among high-net-worth individuals (HNWIs).
- Consulting private clients on their business needs and actively cooperating with the firm’s clients through negotiations, consulting, and business trips.
Your Contribution
- Legal qualification under Swiss, Kazakh, or Russian law (a must), with proven knowledge and experience in the respective other law; international qualifications at Master’s level in Law or Finance (a must); executive-level education is a plus.
- 6+ years of professional experience encompassing contract review, legal clarifications, and preparation of legal opinions.
- In-depth knowledge and firsthand experience of customary business and legal practices in Kazakhstan.
- Previous roles as a CEO or deputy CEO in nationwide companies in Kazakhstan or a comparable position in Switzerland or elsewhere, with at least 6+ years of experience working closely with nationwide companies in Kazakhstan.
- Comprehensive international experience in the legal and business fields (minimum 6+ years).
- Fluency in English, Kazakh, German, and Russian is essential; proficiency in French or Italian is an advantage.
- Experience managing complex multi-jurisdictional projects and dealing with the EBRD.
- Experience serving as a board member for large corporations is a plus.
- An established portfolio of clients.
- Willingness to undertake regular business trips.
